1. General1. 一般條款

These Terms of Service ("Terms") govern all business interactions between Ayrik Limited ("Ayrik," "we," "us," or "our") and its clients ("Client," "you," or "your"). By requesting a quotation, placing an order, or engaging our services, you agree to be bound by these Terms. Any conflicting terms proposed by the Client are expressly rejected unless separately agreed in writing by Ayrik Limited. 本服務條款（"條款"） governs Ayrik Limited（"Ayrik"、"我們"）與其客戶（"客戶"、"您"）之間的所有業務互動。透過索取報價、下單或使用我們的服務，您同意受本條款約束。客戶提出的任何衝突條款均被明確拒絕，除非Ayrik Limited另行書面同意。

2. Quotations and Pricing2. 報價與定價

• Quotation Validity: All quotations issued by Ayrik Limited are valid for a period of fourteen (14) calendar days from the date of issue, unless otherwise stated in writing. After this period, pricing and lead times are subject to reconfirmation.報價有效期：Ayrik Limited發出的所有報價自發出之日起十四（14）個日曆天內有效，除非書面另有說明。在此期限之後，價格和交期需重新確認。
• Pricing: All prices are quoted in the currency specified on the quotation and are exclusive of applicable taxes, duties, and shipping costs unless explicitly stated otherwise. Ayrik Limited reserves the right to adjust pricing due to supplier cost changes, exchange rate fluctuations, or raw material price movements occurring after the quotation date.定價：所有價格以報價中指定的貨幣報價，不包括適用稅費、關稅和運輸成本，除非明確說明。Ayrik Limited保留因報價日期後供應商成本變動、匯率波動或原材料價格變動而調整價格的權利。
• Volume Pricing: Volume-based pricing tiers are conditional upon the full ordered quantity being confirmed in a single purchase order. Partial orders may be re-quoted at the applicable single-tier rate.批量定價：基於數量的價格梯度以單一採購訂單確認的完整訂購數量為條件。部分訂單可能按適用的單一梯度費率重新報價。

3. Lead Times and Shipping3. 交期與運輸

• Estimated Lead Times: All lead times provided in quotations or order confirmations are estimates based on current supplier production schedules and logistics conditions. Lead times are not guaranteed and are subject to change without prior notice due to supplier delays, force majeure events, customs inspections, or transportation disruptions.預估交期：報價或訂單確認中提供的所有交期均為基於當前供應商生產計劃和物流狀況的估計值。交期不作保證，可能因供應商延誤、不可抗力事件、海關檢查或運輸中斷而隨時變更，恕不另行通知。
• Shipping Terms: Unless otherwise agreed in writing, all shipments are governed by the Incoterms 2020 rule specified on the order confirmation. Risk of loss and title transfer in accordance with the applicable Incoterm.運輸條款：除非書面另有約定，所有貨運均受訂單確認中指定的Incoterms 2020規則管轄。風險損失和所有權轉移按照適用的貿易術語執行。
• Delivery Delays: Ayrik Limited shall not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, port congestion, or supplier production interruptions.延遲交付：如延遲或未能履行義務係因超出合理控制範圍的情況所致，Ayrik Limited不承擔任何責任，包括但不限於自然災害、疫情、政府行動、港口擁堵或供應商生產中斷。

4. Payment Terms4. 付款條款

• Payment is due in full within the timeframe specified on the invoice, unless alternative terms have been agreed in writing. The standard payment term is T/T (wire transfer) within fifteen (15) business days of invoice date.除非另行書面約定，付款須在發票指定的期限內全額支付。標準付款條款為發票日期後十五（15）個工作日內電匯（T/T）。
• Late payments may incur interest at a rate of 1.5% per month on the outstanding balance. Ayrik Limited reserves the right to suspend further deliveries or services until all overdue amounts are settled.逾期付款可能按未付餘額每月1.5%的利率收取利息。Ayrik Limited保留暫停進一步交付或服務的權利，直到所有逾期款項結清。
• All bank charges and transfer fees on the remitting side are borne by the Client. Any bank charges on the receiving side will be borne by Ayrik Limited.匯款方的所有銀行手續費和轉帳費用由客戶承擔。收款方的銀行手續費由Ayrik Limited承擔。

5. Quality and Inspection5. 品質與檢驗

• Ayrik Limited conducts multi-stage quality verification including sourcing verification, factory audits, and batch testing prior to shipment. Certificates of Conformity (CoC) and relevant test reports are provided where applicable.Ayrik Limited在發貨前進行多階段品質驗證，包括供應源驗證、工廠審核和批次測試。在適用情況下提供合規證書（CoC）及相關測試報告。
• The Client shall inspect all goods within five (5) business days of receipt. Any claims for defects, shortages, or non-conformities must be submitted in writing within this period. Claims received after this window may not be accepted.客戶須在收到貨物後五（5）個工作日內檢驗所有貨物。任何有關缺陷、短缺或不合格的索賠須在此期限內以書面形式提交。此後收到的索賠可能不被接受。
• Ayrik Limited's liability for defective goods is limited, at our discretion, to replacement of the defective items or refund of the purchase price of the defective portion. In no event shall Ayrik Limited be liable for indirect, incidental, or consequential damages.Ayrik Limited對缺陷產品的責任僅限於（由我們決定）更換缺陷物品或退還缺陷部分的購買價格。在任何情況下，Ayrik Limited均不對間接、附帶或後果性損害承擔責任。

6. Limitation of Liability6. 責任限制

To the maximum extent permitted by applicable law, Ayrik Limited's total aggregate liability arising out of or in connection with any order, quotation, or service shall not exceed the total value of the specific order to which the claim relates. Ayrik Limited shall not be liable for any loss of profit, loss of revenue, loss of business, or any indirect or consequential loss arising from or related to the use of its services or products. 在適用法律允許的最大範圍內，Ayrik Limited因任何訂單、報價或服務而引起的總累計責任不超過索賠所涉及的特定訂單的總價值。Ayrik Limited不對因使用其服務或產品而引起的任何利潤損失、收入損失、業務損失或任何間接或後果性損失承擔責任。

7. Intellectual Property7. 知識產權

All technical documentation, drawings, designs, and specifications shared by either party remain the intellectual property of the originating party. Neither party shall use the other's intellectual property for any purpose other than the fulfillment of the specific order or engagement to which such materials relate, without prior written consent. 雙方分享的所有技術文件、圖紙、設計和規格均為原創方的知識產權。未經事先書面同意，任何一方不得將對方的知識產權用於與特定訂單或相關項目履行無關的任何目的。

8. Confidentiality8. 保密條款

Both parties agree to maintain the confidentiality of all proprietary information, pricing, technical data, and business terms disclosed during the course of business. This obligation shall survive the termination of any business relationship for a period of two (2) years. 雙方同意在業務過程中對披露的所有專有資訊、價格、技術數據和商業條款保密。此義務在任何業務關係終止後兩（2）年內仍然有效。

9. Governing Law and Dispute Resolution9. 適用法律與爭議解決

These Terms and all business transactions between Ayrik Limited and its Clients shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China. Any disputes arising out of or in connection with these Terms shall first be resolved through good-faith negotiation. Where negotiation fails, disputes shall be submitted to the Hong Kong International Arbitration Centre (HKIAC) for resolution under its then-current rules. 本條款及Ayrik Limited與其客戶之間的所有業務交易均受中華人民共和國香港特別行政區法律管轄並據此解釋。因本條款引起的或與之相關的任何爭議，應首先透過善意協商解決。協商不成時，爭議應提交香港國際仲裁中心（HKIAC）按照其當時有效的規則進行仲裁。

10. Amendments10. 修訂

Ayrik Limited reserves the right to amend these Terms at any time. The version of these Terms in effect at the time of each individual transaction shall govern that transaction. Clients are encouraged to review the latest version of these Terms on our website prior to placing orders. Ayrik Limited保留隨時修訂本條款的權利。每次個別交易時生效的本條款版本將管轄該交易。鼓勵客戶在下單前查看我們網站上的最新版本條款。
